A majority of Board members will constitute a quorum. Board members may attend a Board meeting and vote by telephone as long as they are on a speaker phone and can be heard and can hear the other board members and audience. While on the phone, the Board member counts toward the quorum and has full voting ability. A smaller number may meet and adjourn from time to time and compel the presence of absent members. The affirmative vote of the majority of Board members is required to transact any business.
